REAL ESTATE AND FINANCE

The firm’s Real Estate Section provides a full range of services to a diverse client base which includes private lenders, financial institutions, builders, developers, individuals, owners of residential and commercial buildings, commercial tenants, cooperative and condominium boards and real estate investors.  This section handles transactions involving the negotiation, sale and acquisition of residential and commercial properties, mortgage financing and/or refinancing, commercial leasing transactions, cooperative and condominium conversions, commercial and professional leasing transactions, tax certiorari proceedings, real estate syndications and foreclosures.

BANKING LAW

The Banking Section offers counsel to commercial and savings banks, financial institutions and insurance companies and engages in specialized representation in the areas of commercial loan transactions, residential loan closings, mortgage foreclosure proceedings, workouts and loan recovery litigation.

LITIGATION AND APPEALS

The Litigation Section represents plaintiffs and defendants in a full service law firm type of action before federal, state and city courts in New York and before federal, state and city administrative agencies.  The subject matter of the cases is quite diverse, including partnership problems commercial contracts and disputes, corporate, real estate, bankruptcy proceedings, criminal cases, negligence cases and a host of other areas.  In addition to litigation, we have extensive experience in appellate matters and are competent in handling such issues.

BUSINESS AND COMMERCIAL LAW INCLUDING CORPORATIONS AND LIMITED LIABILITY COMPANIES

The firm offers a wide range of business and commercial law services. These include the formation of corporations and limited liability companies, contract negotiations, resolution of commercial disputes, strategic business planning, acquisitions, mergers, reorganizations, sale and purchase of businesses, obtaining financing and funding for business operations, and employee relations.

Whether a business is a start-up or a well-established entity, we provide invaluable legal insight into the drafting and review of partnership and shareholder agreements and dissolutions, the negotiation and creation of commercial lease agreements, employment agreements, personal services/consulting agreements, sales representative agreements, distribution agreements, marketing agreements, master sales agreements, standard terms and conditions for purchase orders and invoices, and various forms of technology licensing agreements.

CREDITOR’S RIGHTS AND BANKRUPTCY

The firm provides the necessary skills to represent a broad spectrum of clients including: banks and other institutional lenders; secured parties; trade creditors; commercial developers; distressed corporations; and creditors' committees. Our extensive experience allows for full scale representation of our clients in all aspects of pending bankruptcy cases.

The firm also has substantial experience in reorganization and liquidation cases and has represented our clients' interests in bankruptcies throughout the New York/New Jersey region. We actively represent clients on issues pertaining to assumption and rejection of executory contracts and real estate leases; protection of cash collateral; post-petition financing, plan structure and confirmation; and the acquisition and sale of assets in bankruptcy.

We are also active in representing clients in bankruptcy hearings and litigation matters which include: automatic stay litigation and enforcement; objections to discharge; preference and fraudulent conveyance litigation; lender liability claims; contested proceedings regarding the use of cash collateral and objections to claims; and contested disclosure statement and plan confirmation hearings.

In addition, we regularly advise clients concerning the workout and extension of troubled loans; restructuring of debt through out-of-court workouts; business planning formulation; and structuring corporate transactions to anticipate and protect against future bankruptcies.
CONSTRUCTION LAW

After years of concentrated attention to matters involving construction law, we offer the highest level of legal representation to owners, contractors, construction managers, developers, design professionals, and suppliers in need of sound advice about all aspects of the construction process. This includes document preparation; contract negotiation and formation; contract performance; financing and warranty issues; mechanics and materialmen liens; and claims and dispute resolution. 

TRUSTS AND ESTATES

The Trusts and Estates Section assists and counsels individuals on wills, estate planning, trusts, administration of trusts and estates, probate and intestacy proceedings, and guardianship proceedings, as well as living wills, health care proxies, and powers of attorney.
